Terms of Service

Flips Flap is a community marketplace where users (“Hosts”) offer free activities, classes, services, or items to other users (“Bidders”) in exchange for Sandal Points — a non-monetary virtual credit that exists only on this platform. We are an intermediary. The activity itself happens between Host and Bidder off-platform.

• Sandal Points (SP) have no monetary value and cannot be redeemed for cash.
• SP cannot be transferred between users except through the bidding mechanics provided by the Service.
• Each new account is granted 100 SP as a one-time welcome bonus.
• ZAPTOS LTD may adjust SP balances to correct technical errors, fraud, or breach of these Terms. We do not owe any user a fixed quantity of SP.
• SP have no expiry while your account is active. They are forfeited if your account is terminated for breach of these Terms.

• When you place a bid (a “Flap”) you offer a quantity of SP plus a written message. The SP are immediately locked from your balance until the auction resolves.
• You can update or withdraw your Flap at any time before the auction's end time. Withdrawing returns your locked SP.
• The Host may only select a winner after the auction's end time has passed. On selection, the winning Bidder's locked SP transfer to the Host and all other Bidders' SP are returned automatically.
• Once a winner is selected, the auction is closed and the result is final on-platform.

• You must have the right to offer what you list and to deliver it on the agreed date.
• You must upload a truthful voucher or confirmation for the winning Bidder when posting a flip; the voucher is revealed only after you accept a winner.
• You must not post anything illegal, dangerous, sexually explicit, hateful, infringing on third-party rights, or that requires a regulated licence you do not hold (e.g. providing medical care).

• You bid in good faith and intend to attend the activity if selected.
• If you do not show up, the Host may apply a 10 SP no-show penalty to your account. This is a one-time deduction per missed activity.
• Treat Hosts and other Bidders respectfully. Harassment, threats, or abusive content will result in suspension.

• You must be 16 or older to use the Service. If you are under 18, you confirm you have your guardian's permission.
• You are responsible for keeping your credentials secure. One account per person.
• We may suspend or terminate accounts that breach these Terms, with or without prior notice depending on the severity.

The Service is provided “as is” and “as available”. We do not warrant that activities offered by Hosts will meet your expectations, that the Service will be uninterrupted, or that all bugs are absent. To the maximum extent permitted by law, ZAPTOS LTD disclaims all implied warranties.

To the maximum extent permitted by law, ZAPTOS LTD is not liable for any indirect, incidental, consequential, or punitive damages arising from your use of the Service or from any activity arranged between users. Because Sandal Points have no monetary value, our direct liability in connection with the Service is capped at the price you paid us for it, which is zero.

You retain ownership of the content you upload. By uploading you grant ZAPTOS LTD a worldwide, royalty-free, non-exclusive licence to host, display, and process that content as necessary to operate the Service. We retain ownership of the Service itself, including the Flips Flap branding and codebase.

Our handling of personal data is described in our Privacy Policy, which is incorporated into these Terms by reference.

We may update these Terms. The current version is always at this URL. If we make material changes we will notify logged-in users in-app. Continued use of the Service after a change constitutes acceptance of the updated Terms.

These Terms are governed by the laws of England and Wales, without regard to its conflict-of-law rules. Mandatory consumer protections of the country where you reside as a consumer remain unaffected. For consumers resident in the EU, you may bring proceedings in the courts of your habitual residence; for non-consumer disputes the courts of England and Wales have exclusive jurisdiction.
